Subscription for the units in a Fund can only be made on the application form that accompanies the Investment Memorandum. In Switzerland Prestige Funds are restricted to Qualified Investors, which as per Art. 10 of the Collective Investment Scheme Act (CISA) includes.

Paragraph 3

Regulated financial intermediaries such as banks, securities traders, fund management companies and asset managers of collective investment schemes, as well as central banks; regulated insurance institutions; public entities and retirement benefits institutions with professional treasury operations; companies with professional treasury operations.

Paragraph 3bis

High-net-worth individuals may declare in writing that they wish to be deemed qualified investors. In addition, the Federal Council may make such persons’ suitability as qualified investors dependent on certain conditions, specifically technical qualifications.

Paragraph 3ter

Investors who have concluded a written discretionary management agreement as defined in Article 3 Paragraph 2b and c are deemed qualified investors.

In the United Kingdom some of the funds on the website are Unregulated Collective Investment Schemes (UCIS) / Non-Mainstream Pooled Investments (NMPI) which are classified as higher risk investments and are therefore not suitable for all types of investor, in particular retail. All services mentioned are only intended for distribution to persons permitted to receive them by Section 238 of the Financial Services and Markets Act 2000 and are not available to members of the general public. UCIS/NMPI funds are subject to further participation restrictions contained within COBS 4.12 of the Financial Conduct Authority handbook. Furthermore UCIS/NMPI in the UK are also often classified as Alternative Investment Funds (AIF) which are subject to the scope of the European Economic Area (EEA) Alternative Investment Fund Managers Directive (AIFMD). Prestige Funds are managed by Third Country AIFMs which market via National Private Placement Regimes (NPPR) of Full Scope AIFMs which market via a Passporting regime. Note that Third Country and Sub-threshold AIFMs and their subsequent AIFs are not subject to the same increased regulatory requirements as EEA based Full Scope AIFMs.

Any parties interested in making a subscription into a Prestige Fund should inform themselves as to: (i) the legal requirements in the countries of their nationality, residence, ordinary residence or domicile for such acquisitions; (ii) any foreign exchange control requirement which they might encounter on the acquisition or sale of shares/units; and (iii) income tax and other tax consequences which might be relevant to the acquisition, holding or disposal of shares/units in the funds.

Investor Protections provided by the UK regulatory system do not apply to Prestige Funds. Compensation under the UK’s Financial Services Compensation Scheme will not be available and UK cancellation rights do not apply. Parties in any doubt about the information contained herein or unsure whether any Prestige Funds are a suitable investment for them are strongly advised to consult their Financial Advisor, stock broker, lawyer, accountant, bank manager or other professional advisor.
